1Annual Reporting Obligation

  • Every company registered in Romania (including SRLs) is required to submit annual financial statements electronically, using a valid digital signature, to the National Agency for Fiscal Administration (ANAF).
  • The standard deadline for submitting annual financial statements is May 31st of each year (this may be extended by a few days if it falls on a public holiday).

  • Failure to submit financial statements can result in fines ranging from 2,000 to 5,000 RON.
  • If a company fails to submit financial statements for more than 5 months past the legal deadline, it may be declared "fiscally inactive" by ANAF, which carries severe consequences (such as business partners losing the right to deduct taxes).

3Dormant Companies

  • Companies that have had no activity from registration until the end of the financial year do not need to prepare full financial statements; instead, they must submit a declaration of inactivity to ANAF within 60 days of the financial year-end.
